    Terms and Conditions

    General

    JEDZ is a digital web agency that provides web solutions on a subscription basis to business clients.

    These terms and conditions apply exclusively to business clients (B2B). Agreements are only entered into with businesses and not with consumers.

    Basis of Agreement

    These terms and conditions constitute the entire agreement between JEDZ and the client.

    The agreement is entered into in connection with the client's completion of payment via Stripe, where the subscription price and payment frequency are stated.

    Upon completing the payment, the client confirms having read and accepted these terms and conditions, and that the agreement is binding.

    The Service

    JEDZ delivers web solutions on a subscription basis for a fixed monthly payment.

    The subscription includes hosting, continuous maintenance, and support in the form of minor changes, including updating text and images.

    Support is provided on a fair-use principle and includes minor changes to the existing web solution.

    JEDZ reserves the right to determine what is considered minor changes.

    Major changes, including design changes, structural changes, or development of new features, are considered work outside the subscription and will be invoiced separately by agreement.

    JEDZ strives to perform support and changes within a reasonable time, but does not guarantee fixed response times.

    Changes and support requests must generally be made in writing via email to kontakt@jedz.dk.

    The client will not be charged extra without prior acceptance.

    Payment

    Payment for the subscription is made via automatic card payment.

    Upon completing the payment, the client accepts that the registered payment card is automatically debited at the start of each subscription period.

    The subscription is billed monthly in advance and is automatically renewed unless canceled. All prices are exclusive of applicable taxes.

    Delivery of the service begins immediately after completed payment.

    The client is responsible for ensuring that the registered payment information is correct and updated.

    If a payment cannot be completed, JEDZ reserves the right to make repeated collection attempts and temporarily suspend the service until payment is completed.

    In the event of a material breach of payment obligations, JEDZ reserves the right to terminate the agreement.

    A receipt for payment is sent electronically to the client.

    Payments are generally not refunded for already initiated subscription periods.

    The client commits to contacting JEDZ regarding any payment issues before contacting the bank or raising an objection to the payment.

    Third-party Payment

    Payments are processed via the third-party payment provider Stripe.

    Upon completing the payment, the client accepts that the payment is handled by Stripe, and that payment information is processed in accordance with Stripe's terms and privacy policy.

    JEDZ does not have access to the client's full payment information.

    Any objections regarding payment must initially be directed to JEDZ.

    Cancellation

    The agreement continues automatically every month unless canceled in writing by either party.

    Cancellation must be made with a minimum of 30 days' notice before the next payment period and must be sent in writing via email to kontakt@jedz.dk.

    With timely cancellation, the subscription ends at the end of the current payment period, after which no further charges are made.

    Already completed payments are not refunded, and the client continues to have access to the service until the end of the subscription period.

    Upon termination of the subscription, the client's web solution, including website and hosting, will be removed and no longer be available online.

    The client is then free to set up a domain and a new web solution with another provider.

    Data and Termination

    Upon termination of the subscription, JEDZ is not obligated to store or hand over data, files, or content beyond what has been agreed.

    The client is responsible for ensuring backup of their own data.

    Copyright

    The copyright to web solutions belongs to JEDZ.

    The client obtains a right of use to the web solution during the subscription period.

    JEDZ may at any time use components in other contexts, including concept, functionality, and design.

    The client is responsible for ensuring that material and information provided by the client to JEDZ do not infringe on third-party rights.

    Data Processing

    JEDZ may, in connection with the delivery of services, process personal data on behalf of the client.

    The client is the data controller and responsible for ensuring that the processing of personal data occurs on a lawful basis.

    JEDZ only processes personal data to the extent necessary to deliver the services and in accordance with the client's instructions.

    JEDZ cannot be held responsible for the client's use of personal data.

    Confidentiality

    JEDZ commits to keeping any information about the client's business affairs confidential.

    JEDZ has the right to use the client's name, logo, and web solution as a reference in its own marketing material.

    Liability

    JEDZ strives to ensure that the delivered services function stably and without material errors.

    However, JEDZ cannot guarantee uninterrupted operation and is not liable for downtime, errors, or losses caused by third parties, including hosting providers, plugins, or external systems.

    JEDZ is not liable for indirect losses, including operating losses, lost profits, or data loss.

    JEDZ is not liable for matters arising from the client's use of the web solution.

    JEDZ is not liable for matters beyond JEDZ's control (force majeure).

    JEDZ's total liability can in all cases not exceed the amount the client has paid to JEDZ within the last 3 months.

    JEDZ does not guarantee specific results, including rankings in search engines, traffic, or conversions.

    Breach

    If the client breaches the agreement, including through non-payment, rejected payments, or failure to update payment information, JEDZ reserves the right to suspend or close the delivered services without notice.

    JEDZ may resume the delivery of services when the breach has ended and JEDZ assesses that the circumstances will not repeat themselves.

    In the event of a material breach, JEDZ reserves the right to terminate the agreement without further notice.

    JEDZ cannot be held liable for losses, including operating losses or data loss, resulting from the suspension or termination of services.

    Changes

    JEDZ reserves the right to change the terms and conditions.

    Changes are notified to the client with reasonable notice via email.

    JEDZ also reserves the right to adjust prices with a minimum of 30 days' notice.

    Governing Law and Jurisdiction

    The agreement is governed by Danish law.

    Any disputes are settled by the Danish courts in Copenhagen.
